SECURITY INTEREST:The Seller will assume and pay the following obligations (the 'Security Interest'), and will hold harmless and indemnify the Purchaser from any claim related to these obligations: ________ loans.

GOVERNING LAW: This Bill of Sale will be construed in accordance with and governed by the laws of the Province of Washington.
